1. Business Information

The website www.mdm-tools.com, commercially known as MDM Tools, is operated by LMF di Frattarolo Luca, an Italian registered sole proprietorship.

Throughout these Terms and Conditions, "MDM Tools", "we", "us", "our" and "seller" refer to LMF di Frattarolo Luca.

2. Acceptance of Terms

By accessing this website or placing an order, customers agree to the applicable Terms and Conditions.

These Terms apply to both consumers and business customers, subject to the mandatory legal rights applicable to each category.

A consumer is a natural person purchasing goods or services for purposes unrelated to their commercial, business or professional activities.

3. Products and Services

MDM Tools sells industrial tools, workshop equipment, new and used machinery, workwear, safety equipment, technical accessories and professional training services.

Product descriptions, technical specifications, images and available documentation are provided on the relevant product pages or in commercial quotations.

For used machinery, any known defects, limitations, operating conditions or missing accessories are disclosed where applicable.

4. Product Availability

Product availability may change without prior notice.

Some products are available directly from stock, while others may be supplied upon request.

Used industrial machinery is often available in limited quantities or as a single unit.

If an ordered product becomes unavailable, customers will be informed and offered an alternative solution or a refund of any payment already received for that product.

5. Prices and Payments

All prices are expressed in euros.

Whether VAT is included or excluded is specified on the product page, commercial quotation or checkout, as applicable.

Any additional shipping charges are communicated before the customer confirms the purchase.

Payment methods are those available at checkout or specified in a commercial quotation.

MDM Tools may update prices at any time without affecting orders already accepted.

6. Orders and Contract Formation

Placing an order constitutes an offer to purchase.

An automatically generated order acknowledgment does not necessarily constitute final acceptance.

The contract is concluded when MDM Tools confirms acceptance of the order, including through an order confirmation or shipping confirmation.

If an order cannot be accepted after payment has been received, the amount paid will be refunded.

7. Shipping and Delivery

MDM Tools ships products throughout Italy and, where available, to international destinations.

Shipping costs and estimated delivery times depend on the product, destination and selected service.

Unless otherwise agreed, products purchased by consumers will be delivered within 30 days of the conclusion of the contract, in accordance with applicable law.

For heavy machinery and industrial equipment, transportation, loading, unloading, dismantling, installation and commissioning are included only when expressly stated in the commercial offer.

For consumer purchases, the risk of loss or damage generally passes to the consumer when the goods are physically received by the consumer or a designated third party other than the carrier, subject to applicable legal exceptions.

8. Used Machinery and Industrial Equipment

Used machinery and industrial equipment are sold in the condition described in the product listing or commercial quotation.

Customers may request additional photographs, technical information and, where possible, an inspection before purchase.

Specific contractual terms may apply to business-to-business transactions, subject to applicable law.

Any agreed sale in the existing condition of the goods does not exclude mandatory consumer rights.

Customers must use and install machinery in accordance with applicable safety regulations and operating requirements.

9. Consumer Right of Withdrawal

Consumers purchasing goods through distance contracts generally have the right to withdraw within 14 days of receiving the goods, without providing a reason, unless a statutory exception applies.

To exercise this right, consumers must send a clear withdrawal notice to:

info@mdm-tools.com

Goods must be returned within 14 days after communicating the withdrawal.

Return address:

MDM Tools – LMF di Frattarolo Luca

Via Boccaccio 229

20099 Sesto San Giovanni (MI), Italy

Direct return shipping costs are borne by the consumer when properly disclosed before purchase, unless otherwise agreed or required by law.

For bulky goods that cannot normally be returned by post, the applicable direct return cost or a reasonable estimate must be disclosed before the purchase, as required by law.

10. Refunds

When a consumer validly exercises the right of withdrawal, MDM Tools will reimburse the applicable payments received, including standard original delivery costs where required by law.

Additional delivery costs resulting from the customer's choice of a more expensive delivery method are not refundable.

Refunds will be issued without undue delay and within 14 days of receiving the withdrawal notice.

MDM Tools may withhold reimbursement until the returned goods are received or the consumer provides evidence of having sent them back, whichever occurs first.

Refunds will be issued using the original payment method unless otherwise expressly agreed, without additional charges to the consumer.

Further information is available in our Refund Policy.

11. Business and Professional Purchases

The statutory 14-day consumer withdrawal right does not automatically apply to purchases made for business or professional purposes.

For business customers, voluntary returns, cancellations or exchanges are subject to applicable law and the contractual terms agreed with MDM Tools.

12. Legal Warranty

Consumer purchases are covered by the mandatory legal guarantee of conformity under applicable Italian consumer protection legislation.

The ordinary legal warranty period is 24 months from delivery.

For used goods, a shorter warranty period may be expressly agreed where legally permitted, but it cannot be less than 12 months.

Without a valid agreement reducing the period, the ordinary statutory period applies.

Consumers may exercise the remedies provided by law for defects of conformity, including repair, replacement, price reduction or termination of the contract where the relevant legal conditions are met.

Business-to-business transactions are governed by the applicable provisions of the Italian Civil Code and any validly agreed contractual terms.

13. Damaged or Incorrect Products

Customers receiving damaged, defective or incorrect products are invited to contact:

info@mdm-tools.com

Providing the order number and photographs may help us process the request more efficiently.

Failure to report an issue immediately does not remove mandatory consumer rights.

Where a defect is covered by the legal guarantee, the applicable remedies will be provided without cost to the consumer as required by law.

14. Training Courses and Professional Services

MDM Tools also provides technical and professional training services.

Course programs, duration, delivery methods, schedules and prices are communicated before enrollment.

Online and in-person training activities may be subject to additional terms agreed with participants.

Consumer withdrawal rights for services are governed by applicable legislation.

Where consumers expressly request the start of services during the withdrawal period, applicable statutory rules concerning proportional payment and loss of the withdrawal right after full performance may apply.

15. Intellectual Property

Website content, including original texts, photographs, graphics, videos, logos and other materials, is protected by applicable intellectual property laws.

Unauthorized reproduction, distribution or commercial use of protected content is prohibited.

Third-party trademarks and brand names remain the property of their respective owners.

16. Acceptable Website Use

Users agree to use the website lawfully and must not engage in fraudulent activities, unauthorized access, malicious software distribution or actions that compromise website security.

MDM Tools reserves the right to take appropriate measures against unlawful use, in accordance with applicable law.

17. Limitation of Liability

MDM Tools seeks to maintain accurate website information and reliable access to its services.

Temporary interruptions, technical errors or maintenance activities may occasionally occur.

To the extent permitted by law, MDM Tools is not responsible for damage caused by improper use, unauthorized modifications or other circumstances not attributable to the seller.

Nothing in these Terms excludes or restricts liability or mandatory consumer rights that cannot lawfully be excluded.

18. Personal Data Protection

Personal data is processed in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Italian data protection legislation.

Further information about data processing, legal bases, retention periods and individual rights is available in the Privacy Policy published on this website.

19. Amendments to Terms

MDM Tools may amend these Terms and Conditions to reflect business, operational or legal changes.

Updated terms will be published on the website and will generally apply to orders placed after their effective date.

Orders already concluded remain subject to the terms applicable at the time of contract formation, unless otherwise required by law.

20. Governing Law and Disputes

These Terms and Conditions are governed by Italian law.

Mandatory consumer protections and applicable jurisdiction rules remain unaffected.

For business-to-business transactions, any agreed dispute resolution provisions and applicable jurisdiction rules will apply.
